Terms of Service

1. Acceptance of Terms

By accessing or using the remi platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Circadia LLC ("remi," "we," "us," or "our").

2. Description of Service

remi provides market intelligence tools. Today, the Service includes the BTC Cycle Index, which tracks where Bitcoin sits in its market cycle, and cycle alerts. remi scan, which will add algorithmic scores, watchlists, and asset alerts for supported cryptocurrencies, stocks, and ETFs, is in development and not yet available; its launch date will be announced. The Service is designed to help investors understand market cycle conditions through data-driven indicators.

All content and signals provided by remi are for informational purposes only and do not constitute investment advice, financial advice, trading advice, or any other type of advice. You should not rely on the Service as a substitute for professional financial or investment guidance.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service. By using remi, you represent and warrant that you meet these requirements and that your use of the Service does not violate any applicable laws or regulations in your jurisdiction.

4. Account Registration

To access most features, you must create an account with a valid email address. You agree to:

• Provide accurate and complete registration information
• Keep your password confidential and not share it with third parties
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Founding Membership & Billing

remi scan is not available yet; its launch date will be announced. The current founding offer is a one-time prepayment that reserves a spot and prepays the first month when the product launches:

The $29 prepayment is a one-time payment in USD, including applicable tax. No additional charge occurs on launch day. By explicitly accepting the payment and renewal terms at checkout, you authorize your saved payment method to renew automatically at $29/month, including applicable tax, starting one calendar month after launch until canceled. You may cancel automatic renewal before your next charge and keep your prepaid first month.

The Founding Member rate is locked for as long as the subscription remains active. Cancelling ends the price lock.

6. Founding Membership Availability

Founding Membership is limited to 200 memberships. Availability is shown on the membership page and may be withdrawn once all memberships are claimed.

7. Cancellation & Refunds

For a founding reservation, cancel automatic renewal before your next charge on your reservation page or in the app. Your prepaid first month remains included. The prepayment is non-refundable except where required by law. After launch, cancellation ends renewal; access continues through the period already paid for.

Existing monthly subscriptions retain their previously accepted terms and can be canceled through account settings. For those existing subscriptions:

• You will retain access to paid features through the end of your current billing period
• If you hold a Founding Membership, your founding spot is held for 36 hours after you cancel; resuming within that window keeps it, and after that it returns to the pool
• No partial refunds are issued for unused time in the current billing period
• Refund requests are reviewed at our discretion within 14 days of the charge

8. Intellectual Property

All content on the Service — including but not limited to the remi scoring algorithm, signal methodology, UI design, copy, logos, and data visualizations — is the exclusive property of Circadia LLC and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

9. Disclaimer of Warranties

remi is not a registered investment advisor. Nothing on the Service constitutes investment advice, a solicitation, or a recommendation to buy or sell any security or asset. Market data, cycle scores, and signals are provided for informational purposes only. Past performance is not indicative of future results.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCADIA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Prohibited Uses

You agree not to:

• Scrape, crawl, or systematically extract data from the Service
• Reverse-engineer or attempt to extract the scoring algorithm or underlying logic
• Share, resell, or redistribute any signals, scores, or content from the Service
• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to any portion of the Service or its infrastructure
• Use automated means (bots, scrapers, scripts) to access the Service without written permission

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or any conduct we deem harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections 8 (IP), 9 (Disclaimer), 10 (Liability), and 13 (Governing Law) survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. When we do, we'll revise the "Last updated" date at the top of this page and, for material changes, notify you by email or in-app notice. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
